Yes, we have professionals that were previously franchise tax auditors and also worked in public accounting preparing and reviewing Texas franchise tax returns. We can help you prepare for a franchise tax audit and we can provide representation for you during the audit process. In some cases a routine audit from the Comptroller’s Office can be turned into a refund.
What services does State Tax Resources offer for multi-state income and sales/use tax audits? We have experience representing clients with state tax audits in most states. We generally develop good working relationships with the auditors but our objective is to minimize time and costs for our clients. An initial review is completed before the audit begins so we can advise the client regarding potential issues and possible refunds.
Does State Tax Resources provide state tax refund review services? Yes, we can provide refund review services for state income/franchise taxes and sales/use taxes. We have significant experience obtaining refunds in Texas and we also have experience with refund claims in many other states. Our process for refund reviews is that we generally provide an initial review at no charge to determine if refunds are available. If refunds are identified, we can enter into an engagement based on a fixed fee or a contingent fee arrangement.
Who provides assistance with state tax due diligence for mergers and acquisitions? This work is primarily provided by our founder who has been involved in a large number of M&A state tax due diligence engagements for companies of all sizes including some with less than $10 million in revenue to Fortune 500 companies. We can assist the buyer, the seller or the target company. If we assist the buyer, we can also provide services to help clean up any exposure items identified during the due diligence process. If we assist the seller, we can try to identify reasons to reduce the estimated exposure calculated by the buyer’s due diligence team. It is common for the buyer’s due diligence team to estimate a higher exposure if there is any uncertainty about the records answers provided by the target company.
